The citizens of West Virginia are its most priceless human resource. The West Virginia School Board Association is dedicated to the enrichment and development of these human resources. The Association holds that common understanding and purposes are imperative in public education, that a coordination of efforts is essential, and that the West Virginia School Board Association is in a strategic position to promote these objectives. Thus, the West Virginia School Board Association is dedicated to effecting and preserving the principles of effective school board governance through lay control of public education and to improving the quality and effectiveness of boardsmanship.
Article I Name
The name of the Association shall be the West Virginia School Board Association.
Article II Purpose
The purpose of the Association is:
A. To work as a nonpartisan Association for the general advancement of public education in West Virginia.
B. To study and seek to attain effectiveness and constructive school board membership.
C. To study and exchange information concerning the common problems of boards of education and to promote their satisfactory resolution to the degree such may be deemed as appropriate by the Executive Board or membership.
D. To cooperate with persons and associations whose interests and purposes are the betterment of education.
E. To affiliate with other state school board associations for the advancement of education nationally.
F. To accomplish such other purposes as may be approved by the membership of this Association acting in an annual or called meeting, or by the Executive Board.
Article III Officers and Executive Board
A. The officers of the association shall consist of the following: (a) President; (b) President-Elect; (c) Vice President; (d) Financial Officer; (e) Immediate Past President; and (f) Secretary/Treasurer, who shall be the Executive Director. These officers shall constitute the Executive Committee and shall be known as Executive Officers.
B. There shall be a director and associate director elected for each of the regions established under provisions of Article VIII, Section F, and be known as Regional Directors.
C. Each director and associate director so elected shall be entitled to vote at any and all meetings of the Executive Board.
D. There shall be an Executive Board composed of the Executive Officers, regional directors and past association presidents who are serving as county school board members, and who annually petition the Executive Director, as Secretary to the Board, with notice that they wish to serve on the Executive Board.
E. There shall be an Executive Director appointed by a majority vote of the Executive Board to serve at the will and pleasure of the board. He or she shall serve as secretary/treasurer of the Association. His or her contract shall be secured through formal, written agreement, as to terms and specifications, entered into with the Executive Board, and secured through formal contract. He or she shall serve for a term of one or two years as mutually determined by the Executive Director and Executive Board, and as further delineated by Association policy.
F. Within the Executive Board, there shall be constituted an Executive Committee. The Executive Committee shall be comprised of the President, President-Elect, Vice President, Financial Officer, Secretary/Treasurer and Immediate Past President. Said Executive Committee or Board shall meet (1) at the call of the President, (2) or when a majority of its members request a meeting in writing, or (3) by call of the Executive Director. The Executive Committee shall have such powers and duties delegated to it by the Executive Board and shall have powers of the Executive Board between meetings of the Board subject to ratification by the Board at its next meeting.
G. Within the Executive Board there shall be a standing committee known as the "Committee on Finance." The Committee shall be comprised of three members of the Executive Board, including the Financial Officer, who shall serve as the chair, and one member from the general membership. The Committee shall meet at least quarterly and shall confer with the Executive Director in regard to financial matters facing the organization. All non-budgeted expenditures of such designation which the Executive Board shall determine must first be approved by the Committee. The Committee also shall review all disbursements in an amount determined by the Executive Board and shall assist the Executive Director in preparation of the proposed budget for the ensuing Fiscal Year. The Committee on Finance shall enjoy such other powers and duties as the Board may determine.
H. Standing Committees. The Board shall, upon recommendation by the President, appoint such other standing committees as it may deem necessary, fixing their duties and means of operation. Chairs of Standing Committees serve as members of the Executive Board.
Any county board of education shall be eligible for membership in the Association upon payment of membership subscription fees.
Each member county of the Association shall have one vote at the annual membership meeting. There shall be no proxies.
There shall be one annual membership meeting. Regularly scheduled meetings of the membership, other than the Annual Membership Meeting, shall be referred to as "Delegate Assemblies," but shall, in no way supplant the Annual Membership Meeting in terms of scope or purposes, as outlined, herein. Vacancies within the Executive Committee, however, may be filled, subject to procedures outlined herein, at a Delegate Assembly meeting or meetings.
Emergency membership meetings may be called by the President with the concurrence of the Executive Board, or by a request of majority of the Executive Board, at such times and places as the President or said Board may designate. Emergency meetings may not be called by the membership, acting in absence or stead of the President or Executive Board. The Executive Director shall have no authority to call emergency meetings of the membership. Seventy-two (72) hours' notice shall be given for any emergency membership meetings.
A. Executive Board: Except as otherwise provided, governance of the Association shall be vested in the Executive Board.
B. President: The President shall have such powers and duties as are usually exercised by such officers. He or she shall preside at the meetings of the Executive Board. He or she shall appoint all committees, with the approval of the Executive Board. He or she shall be an ex officio member of all committees. He or she may call special meetings of the Executive Board, the Association or any committee. He or she may, after consultation with the Executive Director, name school board members or members of the Association staff as delegates to represent the Association at meetings, conferences or seminars.
C. President-Elect and Vice President: In the absence or disability of the President, the President-Elect shall have the authority of, and perform the duties of the President. In the absence or disability of both the President and President-Elect, the Vice President shall have the authority of and perform the duties of the President. The President-Elect and Vice President shall have such other duties as are delegated to them by the President or by the Executive Board.
D. Secretary/Treasurer: The Secretary-Treasurer shall have such powers and duties as are usually exercised by such officers. The Secretary/Treasurer shall keep minutes of the Annual Membership, Delegate Assembly and Executive Board meetings. He or she shall maintain a current and accurate membership roster. He or she shall perform such other duties as are delegated by the Executive Board, Executive Committee or membership.
E. Financial Officer: The Financial Officer shall advise the Executive Director and Committee on Finance as to matters of fiscal concern to the Association, including matters regarding budgeting, membership subscription fees and efficiencies.
F. Immediate Past President: The Immediate Past President shall be the most recently serving Association President still eligible to be a member of the Association.
G. Executive Director: The Executive Director shall be an ex officio non-voting member of the Executive Committee and Executive Board. His or her duties and compensation shall be determined by the Executive Board. He or she shall collect membership subscription fees and be responsible for any and all collections and disbursements of bank accounts and all moneys and assets belonging to the Association, as directed by the Executive Board. He or she shall be bonded to an amount determined by the Executive Board, and his or her books shall be independently audited annually.
Article VIII Election of Officers and Other Members of the Executive Board
A. The officers of the West Virginia School Board Association shall be nominated by a nominating committee appointed by the President with the approval of the Executive Board. It shall be known as the Executive Officers' Nominating Committee. The committee shall be composed of three members, two from the general membership and one from the Executive Board who shall serve as chair. Nominations may be made from the floor prior to the time of election. All nominations shall be made with the consent of the nominee.
B. The officers shall be elected by the majority vote of the member counties present at the Annual Membership Meeting.
C. The officers shall be elected for a term of one year, or until their successors are elected or appointed.
D. Officers shall not be eligible to be reelected to the same office for the next succeeding term, except secretary/treasurer who shall serve at the will and pleasure of the Executive Board.
E. The Executive Board shall have the authority to fill any vacancies that occur within the above offices for the remainder of their unexpired term. Such vacancies shall be filled at a Delegate Assembly or Annual Membership Meeting.
F. The state shall be divided into regions established by a majority of the number of counties at the Annual Membership Meeting. The membership of each region shall elect a director and associate director, the method to be used in electing directors shall be determined by the Executive Board. Until or unless otherwise determined by the membership at an Annual Membership Meeting, regions shall remain as now fixed.
G. Any officer or other member of the Executive Board who ceases to be a county board member shall not continue in office with the Association.
H. Upon the expiration of his or her term, a past president, other than the immediate past president, shall notify the Executive Director of intent to serve as a member of the Executive Board.
Article IX Amendments to the Constitution
This constitution may be amended by a two-thirds vote of the member counties present at the Annual Membership Meeting of the Association.
